By-Laws of Panhandle Search and Rescue
Article I
By-laws, Adoption, Amendments
Section 1
The By-laws of Panhandle Search and Rescue, hereinafter referred to as
"PANSAR", shall in conjunction with the Constitution and the laws of
the State of Texas, constitute the laws which shall govern the internal operations
of PANSAR.
Section 2
The By-laws shall be adopted and take effect upon a majority vote of the active
membership in good standing, entitled to vote and present at a meeting.
Section 3
The By-laws may, upon recommendation of the Board of Directors, be amended by a
majority vote of the membership in good standing present, and entitled to vote
at the meeting. Written notice of recommended amendment shall be given by the
Board of Directors to the membership at least ten days prior to the vote on the
same. No amendments to the By-laws may be made which are not in conformity with
the PANSAR Constitution.
Article II
Membership, Member in Good Standing, Termination, Leave of
Absence, Reinstatement of Membership
Section 1
Any person upon payment of required fees and dues shall become an active member
pursuant to approval of the Board of Directors as set out in Article III
Section 1 of the Constitution.
Section 2
An active member who does not meet the training requirements as specified in
the applicable specialty tracks in the Standards and Evaluation Procedures will
forfeit their membership.
Section 3
The determination as to whether a person is in good standing shall be made by
the Board of Directors with recommendation, if needed, by the President,
Secretary, and Treasurer.
Section 4
Resignation of any member, when delivered in writing to the President or
Secretary, shall become effective immediately upon its acceptance by the Board
of Directors. The Board may not accept the resignation unless all indebtedness
of the member to PANSAR has been paid.
Section 5
Any member owing dues or otherwise indebted to
PANSAR for a period of sixty days from the date which the sum becomes due and
payable may be suspended and deprived of all privileges of PANSAR. If any such
member applies for reinstatement within sixty days from the date of such
suspension, and pays all amounts owing to said date, then the Board of
Directors may reinstate the member to good standing. Otherwise, such member
shall be dropped from the roll of members.
Section 6
Any member, who by personal or business conduct, violates the Policies and
Procedures of PANSAR may be expelled from membership by a two-thirds vote of
the Board of Directors at a meeting called for this purpose. Said member shall
be given at least ten days notice in writing of such pending action together
with a copy of the complaint against the member, and be given opportunity for a
full and fair hearing by the Board of Directors.
Section 7
The Board of Directors may grant leaves of absence of not more than six months
duration. Such leaves of absence shall be in writing and will be granted only
if the member is in good standing, for sufficient cause, and subject to the
requirement that dues and fees to accrue during the period of proposed leave of
absence shall be paid in advance. If a member does not return after this leave
of absence, then their membership is forfeited. The requirement of dues and
fees may be waived by the Board of Directors.
Section 8
Any person whose membership in PANSAR has either been forfeited, resigned, or
revoked may apply in writing for reinstatement. This application must be
accompanied by a positive letter for reinstatement. This application must be
submitted to the President and membership will be reinstated only after
acceptance by the Board of Directors. If the application for reinstatement is
accepted by the Board of Directors, the reinstated member will be evaluated to
determine their operation status. This evaluation will be conducted using the
procedures given in PANSAR Standards and Evaluation Procedures. If the
application for reinstatement is not accepted by the Board of Directors, the
person may not again apply for reinstatement until one calendar year has
passed.
Article III
Dues
Dues for members of PANSAR shall be proposed by the Board of Directors, subject
to PANSAR membership approval, and shall be due on the first of each month. No
member shall be deemed in good standing who is in arrears more than sixty days.
Article IV
PANSAR Meetings: Quorum, Rules of Order, and Attendance
Section 1
Board Meetings of PANSAR shall be held at least quarterly at such time and
places as designated by the Board of Directors. Special meetings may be called
by the Bard of Directors or the President upon written notice by the Secretary
at least ten days before such meeting is proposed. The President or designee
may call an emergency meeting when necessary.
Section 2
Regular meetings of PANSAR shall be held on the second Thursday of each month.
General business and information shall be passed on to the membership.
Section 3
A majority of the members in good standing shall constitute a quorum for the
transaction of business at any meeting of PANSAR.
Section 4
Parliamentary procedures in all meetings shall be in accordance with Robert’s
Rules of Order.
Section 5
Members shall be expected to attend meetings regularly. The Secretary shall
maintain an attendance record of each member.
Section 6
All regular meetings are open to the public and
subject to open meeting laws.
Article V
Election of Officers
Section 1
The election of officers shall be held in the month of March.
Section 2
The nominees receiving the majority of votes cast for the respective office for
which they are nominated shall be declared elected to such office. In the event
of a tie vote for any office, the nominees so tied shall be voted on again. The
nominee receiving the majority vote shall be declared elected. Officers shall
be elected by ballot or the membership in good standing and present at the
meeting.
Section 3
In the event of a vacancy of an elective
office, the president shall , within one week of the occurrence of the vacancy,
notify the Board of Directors. The Board of Directors shall appoint a member in
good standing to fill the unexpired term of that vacancy.
Article VI
Duties and Responsibilities of Officers
Section 1
The President shall be the chief officer of PANSAR. The President shall be in
good standing at all times.
Section 2
The Vice President shall preside at meetings of PANSAR in the absence of the
President.
Section 3
The Secretary shall be responsible for recording attendance, preserving the
minutes and other duties as designated.
Section 4
The Treasurer shall
keep and maintain records of money received and disbursed. The Treasurer shall
also maintain records of membership status and other duties as designated.
Article VII
Committees
Section 1
A Finance Committee is composed of the Treasurer and four other members
appointed by the Board of Directors. It shall be the duty of this committee to
prepare a budget for the fiscal year. This budget should be submitted to the
membership at its next regular meeting. The Finance Committee may from time to
time, submit supplements to the budget for the current fiscal year. Committee
membership shall coincide with the term of the president.
Section 2
An Auditing Committee of three members shall be appointed by the Board of
Directors, whose duty it shall be to audit the Treasurer’s accounts at the
close of the fiscal year and to report at the annual meeting. The Auditing
Committee shall also conduct an audit any time there is a change in the office
of the President or Treasurer. This committee shall be reappointed with each
fiscal year. No member of this committee shall hold office as Treasurer or be a
member of the Finance Committee.
Section 3
A Training Committee, appointed by the Board, shall be responsible for the
Standards and Evaluation. Committee membership shall coincide with the term of
the President.
Section 4
All other committees shall be appointed by the Board of Directors from time to
time as necessary to carry on the work of PANSAR. The President shall be an ex
officio member of all committees except a Nomination Committee.

General business and information shall be passed on to the membership.
